1. ACCEPTANCE OF TERMS

Welcome to Tenté. These Terms of Service (“Terms”) constitute a legally binding agreement between you and Tenté, Inc. (“Tenté,” “we,” “us,” or “our”) governing your access to and use of the Tenté platform, including our website, web interface, mobile applications, desktop applications, API, and all related services (collectively, the “Services”).

By creating an account, accessing, or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the “Last Updated” date. Your continued use of the Services after such changes constitutes your acceptance of the revised Terms.

2. ELIGIBILITY AND ACCOUNT REQUIREMENTS

2.1 Age Requirements

You must be at least 13 years of age to use the Services. If you are between 13 and the age of majority in your jurisdiction (typically 18), you may only use the Services if your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

Children under 13 are prohibited from using the Services under any circumstances.

2.2 Account Creation

To access certain features of the Services, you must create an account. You agree to:

•          Provide accurate, complete, and current information during registration

•          Maintain and promptly update your account information

•          Maintain the security and confidentiality of your account credentials

•          Immediately notify us of any unauthorized access to your account

•          Accept responsibility for all activities that occur under your account

You may not: - Share your account credentials with others - Create multiple accounts to circumvent usage limits - Use another person’s account without permission - Create an account using automated means or false information

We are not liable for any loss or damage arising from your failure to maintain account security.

2.3 Account Suspension and Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for: - Violation of these Terms - Violation of our Acceptable Use Policy - Fraudulent, abusive, or illegal activity - Extended periods of inactivity - At your request

Upon termination, your right to access the Services immediately ceases. We may, but are not obligated to, delete your account data according to our data retention policies.

3. SERVICE TIERS AND SUBSCRIPTIONS
3.1 Service Offerings

Tenté offers both free and paid subscription tiers:

Free Tier: - Usage limits on conversations, API calls, and data storage - Limited feature access - Standard support - No service level guarantees - Subject to availability and potential service interruptions

Paid Tier: - Higher or unlimited usage limits - Access to advanced features including: - Extended conversation memory - Priority processing - Advanced personalization - Enhanced privacy controls - Experimental features (opt-in) - Priority customer support - Enhanced service level commitments

Specific features, limits, and pricing for each tier are detailed on our website and subject to change with reasonable notice.

3.2 Subscription Terms

If you purchase a Tenté paid subscription:

Billing: - Subscriptions automatically renew at the frequency indicated on your subscription page (monthly or annually) - Your payment method will be charged at the start of each renewal period - Prices may change with 30 days’ notice for existing subscribers - You are responsible for all applicable taxes

Cancellation: - You may cancel your subscription at any time through your account settings or by contacting support@tente.ai - Cancellation must occur before your next billing date to avoid charges - Upon cancellation, you retain access through the end of your current billing period - No refunds or credits for partial subscription periods, except as required by law

Free Trials: - Free trial periods, if offered, are limited to one per user - We may require payment information to start a trial - Your subscription will automatically begin at trial end unless you cancel - We reserve the right to modify or terminate free trial offers

3.3 No Refunds

Subscription fees are non-refundable except: - As expressly stated in these Terms - Where required by applicable law - In cases of billing errors attributable to Tenté

4. DATA SOVEREIGNTY AND PRIVACY
4.1 Your Data Ownership

You retain complete ownership of all data you provide to or generate through the Services (“Your Data”), including: - Profile information and preferences - Conversation history and interactions - Generated digital twin models and embeddings - Files, documents, and media uploaded to the Services - All derivatives and outputs created through the Services

Tenté’s role is as a custodian and processor of Your Data, not an owner.

4.2 Decentralized Identity (DID)

Tenté uses decentralized identity technology to ensure you maintain control over your digital identity:

•          Your Tenté Identity Object is anchored to a DID that you control

•          You hold the private keys associated with your DID

•          You may export your DID document and all associated data at any time

•          Your DID remains valid even if you discontinue use of Tenté’s Services

4.3 Data Processing and Privacy
Our Privacy Policy (available at tente.ai/privacy) describes in detail how we collect, use, store, and protect Your Data. We comply with applicable privacy laws including GDPR (EU), CCPA (California), Privacy Act 2020 (New Zealand), and other regional data protection regulations. Key principles include:

Encryption: - End-to-end encryption for sensitive communications (where applicable) - At-rest encryption using AES-256-GCM for all stored data - Field-level encryption for personally identifiable information - You may maintain your own encryption keys for enhanced privacy (Pro tier)

Data Minimization: - We collect only data necessary to provide the Services - You control what information is stored and processed - Anonymous usage metrics may be collected for service improvement

Data Location: - Primary data storage in your selected region (Pro tier) - Data replication requires your explicit consent - Cross-border data transfer only with your authorization

Third-Party Access: - No sale or rental of Your Data to third parties - Limited third-party processing only as necessary to provide Services - Data processing agreements in place with all third-party processors

4.4 Your Privacy Rights

You have the right to:

Access: Request a copy of all Your Data in machine-readable format
Rectification: Correct inaccurate or incomplete data
Erasure: Request deletion of Your Data (“Right to be Forgotten”)
Portability: Export Your Data for use with other services
Restriction: Limit how we process Your Data
Objection: Object to certain processing activities
Withdrawal: Withdraw consent for processing at any time

4.5 Data Retention and Deletion

Active Accounts: - Your Data is retained as long as your account is active - You may delete specific data at any time through your account

Deleted Accounts: - Upon account deletion, we aim to delete Your Data within 30 days - Some data may be retained longer as required by law or for legitimate business purposes - Anonymized or aggregated data may be retained indefinitely - Backup copies may persist for up to 90 days

Legal Holds: - We may retain Your Data if required by law, regulation, or legal process - We will notify you of such retention where legally permitted

5. ACCEPTABLE USE POLICY
5.1 Permitted Use
You may use the Services for lawful purposes consistent with these Terms, including: - Personal digital twin creation and interaction - Learning and knowledge management - Professional productivity and assistance - Creative and analytical work - Research and development (subject to applicable agreements)
5.2 Prohibited Activities

You may not use the Services to:

Violate Laws or Rights: - Engage in illegal activities or facilitate unlawful conduct - Infringe intellectual property rights of others - Violate privacy, publicity, or other personal rights - Engage in defamation, harassment, or hate speech

Cause Harm: - Distribute malware, viruses, or other harmful code - Conduct security attacks or penetration testing without authorization - Attempt to gain unauthorized access to systems or data - Disrupt, damage, or interfere with the Services or other users

Misuse the Platform: - Reverse engineer, decompile, or extract underlying models or algorithms - Scrape, crawl, or use automated means to access the Services (except via API with permission) - Remove, obscure, or alter any proprietary notices or watermarks - Circumvent usage limits, security measures, or technical restrictions - Create derivative products that compete with the Services

Engage in Deceptive Practices: - Impersonate others or misrepresent your identity or affiliation - Create fake or misleading digital twins of other individuals - Use the Services for spam, phishing, or fraud - Misrepresent AI-generated content as human-created without disclosure

High-Risk Applications: - Make automated decisions materially impacting individuals (employment, credit, housing, healthcare, insurance) without human oversight - Deploy in safety-critical systems where errors could cause physical harm - Use in critical infrastructure without appropriate safeguards and human oversight - Provide unlicensed medical, legal, financial, or professional advice

Prohibited Content: - Child sexual abuse material (CSAM) or exploitation of minors - Non-consensual intimate imagery - Content promoting violence, terrorism, or extremism - Content facilitating self-harm or suicide - Real-money gambling or payday lending - Political campaigning or lobbying (except as permitted by law)

5.3 AI-Specific Requirements

When using AI-powered features: - Do not attempt prompt injection, jailbreaking, or adversarial attacks - Do not extract or reverse engineer model weights or parameters - Comply with any third-party AI model terms and conditions - Disclose when content is AI-generated if not obvious from context - Do not use outputs to train competing AI models without permission

5.4 Enforcement

Violations of this Acceptable Use Policy may result in: - Warning and requirement to cease prohibited activity - Temporary suspension of account or features - Permanent termination of account - Legal action for serious violations - Reporting to law enforcement for illegal activities

We reserve the right to investigate suspected violations and cooperate with law enforcement.

6. INTELLECTUAL PROPERTY RIGHTS
6.1 Tenté’s Intellectual Property

The Services, including all software, designs, text, graphics, logos, interfaces, and underlying technology, are owned by Tenté and protected by copyright, trademark, patent, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to: - Access and use the Services for your personal or internal business use - Create and store Your Data using the Services - Generate outputs using the Services

You may not: - Copy, modify, distribute, or create derivative works of the Services - Use Tenté trademarks without written permission - Frame, mirror, or republish the Services without authorization - Remove or alter any copyright, trademark, or proprietary notices

6.2 Your Content and Outputs

Your Data: You retain all rights to Your Data. By using the Services, you grant Tenté a limited license to: - Store, process, and transmit Your Data as necessary to provide the Services - Use aggregated, anonymized data to improve the Services - Display Your Data back to you through the Services

This license terminates when you delete Your Data or close your account, subject to backup retention periods.

AI-Generated Outputs: - You own outputs generated by your use of the Services to the extent permitted by law - Outputs may not be eligible for copyright protection in all jurisdictions - Tenté makes no warranties regarding ownership or protectability of AI-generated content - You are responsible for ensuring outputs do not infringe third-party rights

6.3 Third-Party Content and Models

The Services may incorporate or provide access to third-party content, data, or AI models. Such content remains the property of the respective third parties and is subject to their terms and conditions.

6.4 Feedback

If you provide feedback, suggestions, or ideas about the Services, you grant Tenté a perpetual, worldwide, royalty-free license to use, implement, and commercialize such feedback without attribution or compensation.

7. THIRD-PARTY SERVICES AND INTEGRATIONS
7.1 Third-Party Services

The Services may integrate with or provide access to third-party services, APIs, or platforms. Your use of third-party services is subject to their respective terms and privacy policies.

Tenté is not responsible for: - Availability, functionality, or security of third-party services - Privacy practices of third-party services - Content or actions of third-party services - Disputes between you and third-party service providers

7.2 Third-Party AI Models

Tenté may use AI models provided by third parties (e.g., OpenAI, Anthropic, Google) to power certain features. When using such features: - You must comply with the third party’s acceptable use policies - Third-party model providers may have access to anonymized usage data - Model availability and capabilities may change without notice - See our Third-Party Models documentation for current providers and terms

8. DISCLAIMERS AND LIMITATIONS OF LIABILITY
8.1 Service Disclaimer

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the fullest extent permitted by law, Tenté disclaims all warranties, including: - Merchantability, fitness for a particular purpose, and non-infringement - Accuracy, completeness, or reliability of Services or outputs - Uninterrupted, secure, or error-free operation - Freedom from viruses or harmful components - Results or outcomes from using the Services

AI-Specific Disclaimers: - AI-generated outputs may contain errors, inaccuracies, or hallucinations - Outputs should not be relied upon for critical decisions without verification - AI models may reflect biases present in training data - Digital twins are approximations and do not perfectly represent individuals

8.2 No Professional Advice

The Services do not provide professional advice. Outputs from the Services: - Are not a substitute for professional medical, legal, financial, or other expert advice - Should not be used to diagnose, treat, or prevent any medical condition - Should not be relied upon for legal, tax, investment, or financial decisions - Do not constitute professional recommendations or endorsements

Always consult qualified professionals for matters requiring licensed expertise.

8.3 Service Level - Free Tier

For free tier users: - No uptime guarantees or service level commitments - Services may be interrupted, suspended, or degraded without notice - Features may be added, modified, or removed at any time - Support is provided on a best-effort basis without guaranteed response times

8.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: - For Free Tier Users: TENTÉ HAS NO LIABILITY. The Services are provided free of charge, and you assume all risks associated with their use. - For Paid Subscribers: Tenté’s total liability shall not exceed the amount you paid to Tenté in the 12 months preceding the claim.

These limitations are subject to exceptions in Section 8.5 and applicable consumer protection laws, including the New Zealand Consumer Guarantees Act 1993.

TENTÉ SHALL NOT BE LIABLE FOR: - Indirect, incidental, consequential, or special damages - Lost profits, revenue, data, or business opportunities - Business interruption or loss of goodwill - Cost of substitute services or procurement - Damages arising from third-party actions or content - Damages from unauthorized access to or alteration of Your Data

This limitation applies regardless of: - Legal theory (contract, tort, negligence, strict liability, or otherwise) - Whether Tenté was advised of the possibility of such damages - Whether any remedy fails of its essential purpose

8.5 Exceptions

Some jurisdictions do not allow exclusion of certain warranties or limitation of liability for incidental or consequential damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

Nothing in these Terms excludes or limits liability for: - Death or personal injury caused by negligence - Fraud or fraudulent misrepresentation - Gross negligence or willful misconduct - Breaches of the New Zealand Consumer Guarantees Act 1993 or Fair Trading Act 1986 - Any other liability that cannot be excluded or limited under applicable law

9. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Tenté, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising from or related to:

•          Your use or misuse of the Services

•          Violation of these Terms or applicable laws

•          Violation of any rights of third parties

•          Your Data or content you submit to the Services

•          Your negligence or willful misconduct

We reserve the right to assume exclusive defense and control of any matter subject to indemnification, at your expense. You will cooperate with our defense of such claims.

10. EXPERIMENTAL FEATURES
10.1 Beta and Experimental Features

Tenté may offer experimental, beta, or preview features (“Experimental Features”) that are: - Still in development and testing - May contain bugs or errors - May be changed or discontinued without notice - Not subject to the same reliability standards as generally available features - Provided “AS IS” with additional disclaimers

10.2 Opt-In Requirement

Participation in Experimental Features is voluntary. You must explicitly opt-in through your account settings. By opting in, you acknowledge: - Higher risk of errors, data loss, or service disruptions - Features may not perform as expected - Your feedback may be used to improve the features - No warranties or support commitments apply - Features may be removed or modified at any time

10.3 Data Use for Experimental Features

Data generated through Experimental Features may be used more broadly for research and development purposes. Specific data use policies will be disclosed when you opt into each feature.

11. DISPUTE RESOLUTION AND GOVERNING LAW
11.1 Governing Law

These Terms shall be governed by the laws applicable to your jurisdiction of residence:

For New Zealand Users: New Zealand law applies, without regard to conflict of law provisions.

For United States Users: The laws of the State of Delaware, United States apply, without regard to conflict of law provisions.

For European Union Users: - EU consumer protection laws apply where they provide greater protection - You may bring claims in your country of residence - We comply with the General Data Protection Regulation (GDPR)

For California Users: - California Consumer Privacy Act (CCPA) rights apply - You may bring claims under California consumer protection laws - See our Privacy Policy for California-specific disclosures

For United Kingdom Users: UK law applies where you are a UK resident.

For Other Jurisdictions: The laws of the State of Delaware, United States apply, except where local consumer protection laws provide greater protection.

11.2 Informal Dispute Resolution

11.3 Arbitration Agreement (US Users)

For users located in the United States (excluding those who opt out):

YOU AND TENTÉ AGREE TO RESOLVE DISPUTES THROUGH BINDING ARBITRATION INSTEAD OF COURT, EXCEPT FOR: - Small claims court actions (under $10,000) - Intellectual property disputes - Claims for injunctive relief - Disputes that cannot be arbitrated under applicable law

Arbitration Procedures: - Administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules - Conducted in English - Location: Your county of residence or remotely by videoconference - Arbitrator’s decision is final and binding - Judgment on award may be entered in any court of competent jurisdiction

Class Action Waiver: - YOU AND TENTÉ AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS - NO CLASS ACTIONS, CLASS ARBITRATIONS, OR REPRESENTATIVE ACTIONS - You may not consolidate or join claims with other users - The arbitrator may not consolidate claims or conduct class proceedings

Opt-Out Right: - You may opt out of arbitration within 30 days of account creation - Send written notice to: Tenté, Inc., Attn: Legal Department, [Address], or email legal@tente.ai - Include your name, email, and statement that you opt out of arbitration - Opting out does not affect any other terms

11.4 Jurisdiction and Venue

For disputes not subject to arbitration:

New Zealand Users: - Disputes may be brought in New Zealand courts - You consent to jurisdiction of New Zealand courts - Disputes Resolution Tribunals and Commerce Commission processes available

US Users: - Exclusive jurisdiction in state or federal courts located in Delaware - You consent to personal jurisdiction in Delaware courts - You waive any objection to venue in Delaware

EU Users: May bring claims in courts of their country of residence.

Other Jurisdictions: Disputes subject to courts in Delaware or your country of residence, as applicable.

12. GENERAL PROVISIONS
12.1 Entire Agreement

These Terms, together with our Privacy Policy and any applicable supplemental terms, constitute the entire agreement between you and Tenté regarding the Services and supersede all prior agreements.

12.2 Modification of Terms

We may modify these Terms at any time. Material changes will be communicated via: - Email to your registered address - Prominent notice on our website or in the Services - In-app notification

Changes become effective: - 30 days after notice for material changes affecting your rights - Immediately for changes required by law or for new features

Your continued use after changes constitutes acceptance. If you disagree with changes, you may terminate your account.

12.3 Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full effect. Invalid provisions will be modified to the minimum extent necessary to make them valid.

12.4 Waiver

Our failure to enforce any provision does not waive our right to enforce it later. Any waiver must be in writing and signed by an authorized representative.

12.5 Assignment

You may not transfer or assign these Terms or your account without our written consent. We may assign these Terms to any successor or affiliate without notice.

12.6 Force Majeure

We are not liable for failure to perform obligations due to causes beyond our reasonable control, including: - Natural disasters, pandemics, or acts of God - War, terrorism, or government actions - Network failures or cyberattacks - Third-party service failures

12.7 Export Controls

You agree to comply with all export and import laws and regulations. You may not use the Services in violation of US or international trade sanctions or export controls.

12.8 Government Users

If you are a US government entity, the Services are “Commercial Items” as defined in FAR 2.101, and use is subject to the terms of this commercial license.

12.9 Relationship

These Terms do not create any partnership, joint venture, employment, or agency relationship between you and Tenté.

12.10 Third-Party Beneficiaries

These Terms do not confer any rights upon third parties except as expressly stated.

12.11 Notices

12.12 Survival

Provisions that by their nature should survive termination will survive, including: ownership, intellectual property, disclaimers, limitations of liability, indemnification, and dispute resolution.

14. SPECIFIC REGIONAL PROVISIONS
14.1 New Zealand Users

Consumer Guarantees Act 1993: Nothing in these Terms excludes, restricts, or modifies your rights under the Consumer Guarantees Act 1993, including: - Right to services of acceptable quality - Right to services fit for particular purpose - Right to services delivered with reasonable care and skill - Right to services completed within reasonable time

These guarantees apply where you acquire the Services for personal, domestic, or household use.

Fair Trading Act 1986: We comply with the Fair Trading Act 1986. Nothing in these Terms excludes liability for: - Misleading or deceptive conduct - False representations - Unfair contract terms

Limitation of Liability for NZ Users: - Free Tier: No liability for service issues, as Services are provided without charge - Paid Tier: Liability limited to fees paid in preceding 12 months, except where the Consumer Guarantees Act requires otherwise - Nothing in these Terms excludes liability for death, personal injury, fraud, or gross negligence
